Кто такие бенефициары
Однозначного официального определения бенефициаров в российском законодательстве нет. Современный экономический словарь трактует этот термин так: «Лицо, которому предназначен денежный платеж; получатель денег, выгоды, прибыли, доходов».
Единственное определение, которое встречается в действующем законодательстве, — в гражданском кодексе. Здесь это тот, кто получает по гарантии определенную сумму от гаранта.
Несмотря на это, в официальных документах термин «бенефициар» часто используется именно в том значении, которое ему дает экономический словарь, — выгодоприобретатель. В одном из постановлений правительства РФ слово употребляется в похожем контексте: «федеральный орган исполнительной власти, уполномоченный в области таможенного дела» — получатель таможенных пошлин, то есть тот, к кому в итоге попадают деньги.
В значении «выгодоприобретатель» слово также трактует Центробанк. Часто такой же логикой руководствуются и СМИ : в статье газеты «Ведомости» «Главным бенефициаром губернаторских выборов оказалась ЛДПР » бенефициар — выгодоприобретатель.
Еще одно распространенное значение — реальный собственник какой-либо компании, который получает доход от ее деятельности. В решении Конституционного суда бенефициар — владелец, лицо, фактически контролирующее предприятие. Так же считают и СМИ — например, «Коммерсант». А в Центробанке иногда употребляют термин «бенефициарная собственность», когда имеют в виду лицо, являющееся конечным владельцем компании.
Бенефициарный владелец и выгодоприобретатель
Термин «бенефициар» не имеет законодательного определения, но есть «выгодоприобретатель» и «бенефициарный владелец», которые расшифрованы в законе «О противодействии легализации (отмыванию) доходов, полученных преступным путем, и финансированию терроризма». Правда, это не синонимы: и тот и другой получают прибыль от компании, но бенефициарный владелец — тот, кому принадлежит минимум четверть от общей доли. Иными словами, если вы купите одну акцию «Газпрома», станете выгодоприобретателем, а если 30% — бенефициарным владельцем. Кто такой бенефициар, в этом документе тоже не написано.
Обязанности бенефициарных владельцев
Государство хочет знать, кто владеет компаниями, поэтому руководители юрлиц имеют право интересоваться у своих учредителей, кто выступает бенефициарным владельцем компании. Фирма обязана раз в год обновлять информацию о бенефициарных владельцах. Причем эти данные должны быть подтверждены документами. Налоговая в любой момент может поинтересоваться, кто реальный собственник фирмы, и директор обязан ответить на этот вопрос.
